UK Watchdog Launches Probe Into Paramount-Warner Bros. Merger: What It Means for Competition!

Paramount-Warner Bros. Merger Formally Investigated By UK Competition Watchdog

The Competition and Markets Authority (CMA) of the UK has initiated a formal probe into the massive $110 billion merger involving Paramount and Warner Bros. Discovery (WBD).

On Tuesday, the CMA announced the commencement of a “merger inquiry” to examine the implications of this significant transaction on the worldwide entertainment landscape.

Starting Wednesday, the authority will begin its preliminary Phase 1 investigation to assess if the merger between Paramount and Warner Bros. could significantly impede competition in the market.

The CMA plans to wrap up the Phase 1 inquiry by August 7. Should they find sufficient grounds for further scrutiny, they will advance to a more comprehensive Phase 2 investigation, which may extend beyond five months.

Moving to Phase 2 could potentially disrupt Paramount’s plans to finalize the acquisition of WBD within the third quarter of the year.

The initiation of the Phase 1 investigation follows the CMA’s initial request for opinions on the merger back in April.

Similar antitrust investigations are also ongoing in the European Union, where the merger is currently under a Phase 1 review set to conclude by July 7. Experts in the field anticipate the likelihood of a Phase 2 investigation.

According to a recent report by Bloomberg, Paramount is willing to sell off some of its assets in children’s television networks to satisfy EU regulatory requirements.

Earlier this year, Paramount Skydance CEO David Ellison made a trip to the UK to engage European regulators and bolster support for the merger. During his visit, he met with UK’s Culture Secretary Lisa Nandy and several key figures in the European creative industry.
